MODWAI Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between the user ("User") and ModwAI ("Provider", "we", "us", or "our"), the legal business entity operating MODWAI software. By using MODWAI, you agree to these Terms.
1. Service Definition
MODWAI is a software application designed for monitoring, analyzing, and managing Oracle databases. The application may:
- read database data,
- perform certain database modifications (only when explicitly triggered by the User),
- provide optional AI-powered analytical features.
The User is fully responsible for all database changes executed through the application.
2. Subscription and License
MODWAI is provided under a monthly or yearly subscription model.
The User receives a non-exclusive, non-transferable, revocable license to use the application.
The license does NOT include:
- access to source code,
- modification of software,
- reverse engineering,
- redistribution.
3. Allowed and Prohibited Use
The User agrees to use the application:
- ✔ only in compliance with applicable laws
- ✔ only on authorized databases
- ✔ in a secure manner
Prohibited:
- ✘ unauthorized database access
- ✘ violation of Oracle licensing rules
- ✘ reverse engineering
- ✘ modifying or redistributing MODWAI
- ✘ bypassing subscription restrictions
4. Oracle Licensing
Certain MODWAI features rely on Oracle internal diagnostic data.
The User is solely responsible for obtaining all required Oracle licenses, including but not limited to Oracle Diagnostic Pack, Performance Pack, or any other advanced monitoring packages.
The Provider is not responsible for Oracle license violations.
5. AI Features
AI functions are optional and activated only when explicitly triggered by the User.
The User acknowledges:
- AI provides suggestions, not final decisions,
- AI does not assume responsibility for database modifications,
- AI results must be validated by a qualified professional if needed.
6. Data Transfer and Security
Unless external AI integration features are activated:
MODWAI does not transmit any database data to third parties.
Activating external AI integrations may send data to external AI services — this must be reviewed and enabled by the User.
The User is responsible for securing:
- database credentials,
- privileges,
- compliance with internal policies,
- encryption and network configuration.
7. Disclaimer of Warranty and Liability
MODWAI is provided "AS IS".
The Provider is not liable for:
- misconfigured databases,
- misinterpretation of monitoring results or AI suggestions,
- data loss or corruption,
- downtime or inaccuracies,
- Oracle licensing violations by the User.
The User assumes full responsibility for all executed actions.
8. Termination
The license may be terminated:
- by expiration of subscription,
- voluntarily by the User,
- upon violation of these Terms.
9. Changes to Terms
The Provider may update these Terms. Continued use constitutes acceptance.
10. Dispute Resolution
These Terms are governed by the laws of the Slovak Republic.
